The Indian Contract Act of 1842 governs contracts in India. The Act provides the structure and legalises contracts or agreements between parties. <\/span><span data-preserver-spaces=\"true\">It is a crucial statute that regulates and supervises all commercial activities, encompassing deals and agreements.<\/span><\/p>\n<h1><strong><span data-preserver-spaces=\"true\">Essentials of A Valid Contract<\/span><\/strong><\/h1>\n<ul>\n<li>\n<h3><strong><span data-preserver-spaces=\"true\">Offer And Acceptance<\/span><\/strong><\/h3>\n<\/li>\n<\/ul>\n<p><span data-preserver-spaces=\"true\">According to ICA, a proposal is an offer made by one party to another who is prepared to enter into a contract. Accepting such a proposal creates an agreement. <\/span><span data-preserver-spaces=\"true\">According to Section 2(a) of the ICA, it occurs when one party fulfils their obligation to demonstrate an interest in the other party to get their consent to perform or refrain from performing certain conduct. It <\/span><span data-preserver-spaces=\"true\">is stated<\/span><span data-preserver-spaces=\"true\"> that this display of interest makes a proposal or an offer.<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">Section 2(b) of the ICA defines acceptance as<\/span><span data-preserver-spaces=\"true\"> \u201c<\/span><span data-preserver-spaces=\"true\">when an offeror makes an offer to the offeree, and the offeree provides his consent to this offer so mad<\/span><span data-preserver-spaces=\"true\">e\u201d.<\/span><\/p>\n<ul>\n<li>\n<h3><strong><span data-preserver-spaces=\"true\">Competent Parties<\/span><\/strong><\/h3>\n<\/li>\n<\/ul>\n<p><span data-preserver-spaces=\"true\">A <\/span><span data-preserver-spaces=\"true\">person is regarded competent to agree if they are of legal age, of sound mind, and not banned from entering into contracts by any laws they are subject to<\/span><span data-preserver-spaces=\"true\">, as stated in Section 11 of the ICA\u2014those<\/span><span data-preserver-spaces=\"true\"> who engage in agreements while under the influence of drugs or alcohol fall under this group.<\/span><\/p>\n<ul>\n<li>\n<h3><strong><span data-preserver-spaces=\"true\">Legal Consideration<\/span><\/strong><\/h3>\n<\/li>\n<\/ul>\n<p><span data-preserver-spaces=\"true\">According to Section 23 of the ICA, any consideration or objective of an agreement is legal unless it <\/span><span data-preserver-spaces=\"true\">is prohibited<\/span><span data-preserver-spaces=\"true\"> by law; otherwise, it would negate the <\/span><span data-preserver-spaces=\"true\">legislation&#8217;s<\/span><span data-preserver-spaces=\"true\"> primary intent or amount to fraud; this includes harm to <\/span><span data-preserver-spaces=\"true\">one&#8217;s<\/span><span data-preserver-spaces=\"true\"> person or property, as well as actions that are immoral or against public policy.<\/span><\/p>\n<ul>\n<li>\n<h3><strong><span data-preserver-spaces=\"true\">Respectful Consideration<\/span><\/strong><\/h3>\n<\/li>\n<\/ul>\n<p><span data-preserver-spaces=\"true\">This idea states that only the promise and the contract stranger should provide consideration. This rule does not apply in India as the ICA names the promisee or another individual at the <\/span><span data-preserver-spaces=\"true\">promisor&#8217;s<\/span><span data-preserver-spaces=\"true\"> request.<\/span><\/p>\n<h3><strong><span data-preserver-spaces=\"true\">Which consideration is valid?<\/span><\/strong><\/h3>\n<ul>\n<li><span data-preserver-spaces=\"true\">The consideration should be lawful and possible to perform.<\/span><\/li>\n<li><span data-preserver-spaces=\"true\">It can be physical or immaterial; thus, consideration is not worthless because it is inadequate.<\/span><\/li>\n<li><span data-preserver-spaces=\"true\">The promisor must desire it.<\/span><\/li>\n<li>\n<h3><strong><span data-preserver-spaces=\"true\">Free Consent<\/span><\/strong><\/h3>\n<\/li>\n<\/ul>\n<p><span data-preserver-spaces=\"true\">Consent is the<\/span><span data-preserver-spaces=\"true\"> \u2018<\/span><span data-preserver-spaces=\"true\">meeting of <\/span><span data-preserver-spaces=\"true\">minds\u2019<\/span><span data-preserver-spaces=\"true\">,<\/span><span data-preserver-spaces=\"true\"> \u2018<\/span><span data-preserver-spaces=\"true\">consensus ad idem<\/span><span data-preserver-spaces=\"true\">\u2019 <\/span><span data-preserver-spaces=\"true\">or<\/span><span data-preserver-spaces=\"true\"> \u2018<\/span><span data-preserver-spaces=\"true\">the agreement between two or more peopl<\/span><span data-preserver-spaces=\"true\">e\u2019.<\/span><span data-preserver-spaces=\"true\"> According to the Indian Contract Act of 1871, for a contract to be enforceable, both parties must have agreed to the same terms in the same way when they entered into one.<\/span><\/p>\n<p><span data-preserver-spaces=\"true\">Free consent in a contract <\/span><span data-preserver-spaces=\"true\">is not influenced<\/span><span data-preserver-spaces=\"true\"> by fraud, misrepresentation, coercion, mistake, or undue influence.<\/span><\/p>\n<ul>\n<li><span data-preserver-spaces=\"true\">Coercion uses force or threats to persuade someone to do anything under Section 15 of the ICA.<\/span><\/li>\n<li><span data-preserver-spaces=\"true\">According to Section 16, it is undue influence if consent <\/span><span data-preserver-spaces=\"true\">is sought<\/span><span data-preserver-spaces=\"true\"> from someone who is dominant over the other party.<\/span><\/li>\n<li><span data-preserver-spaces=\"true\">Misrepresentation occurs when false claims <\/span><span data-preserver-spaces=\"true\">are stated<\/span><span data-preserver-spaces=\"true\"> without intent to deceive.<\/span><\/li>\n<li><span data-preserver-spaces=\"true\">Fraud is deception to exploit another individual.<\/span><\/li>\n<li><span data-preserver-spaces=\"true\">Mistake occurs when both parties commit a factual inaccuracy in the contract.<\/span><\/li>\n<\/ul>\n<h2><strong><span data-preserver-spaces=\"true\">Intention to Establish Legal Relations<\/span><\/strong><\/h2>\n<p><span data-preserver-spaces=\"true\">Both parties must agree to accept the legal implications of their agreement. Hence, intention must <\/span><span data-preserver-spaces=\"true\">be carefully addressed<\/span><span data-preserver-spaces=\"true\"> while creating legal connections.
